We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with or without notice.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Indemnification

You agree to indemnify, defend, and hold harmless Dafi Labs, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with:

Your violation of these Terms
Your violation of any rights of another party
Your breach of any service agreement

Termination

9.1

Termination by Either Party

Either party may terminate these Terms or any service agreement:

For convenience with 30 days' written notice
Immediately for material breach that remains uncured after 15 days' notice
Immediately if the other party becomes insolvent or files for bankruptcy

9.2

Effect of Termination

Upon termination:

All rights and licenses granted to you will cease
You must cease all use of our services
Payment obligations for services rendered remain in effect
Confidentiality obligations survive termination
We may delete your account and associated data

Dispute Resolution

10.1

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

10.2

Dispute Resolution Process

Any disputes arising from these Terms or our services shall be resolved through:

Direct Negotiation: Good faith discussions between the parties
Mediation: Non-binding mediation with a mutually agreed mediator
Arbitration: Binding arbitration under the rules of the American Arbitration Association

10.3

Jurisdiction

Any legal proceedings that cannot be resolved through arbitration shall be brought exclusively in the state and federal courts located in San Francisco County, California.

General Provisions

Entire Agreement

These Terms, together with any applicable service agreements, constitute the entire agreement between you and Dafi Labs regarding the use of our services.

11.2

Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated through our website or direct notification. Continued use of our services constitutes acceptance of modified terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, or government actions.

11.5

Assignment

You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms without restriction.
